VectraMed, Inc.

VectraMed, Inc. (“VMI”) is a privately held drug delivery company developing a new generation of site-directed sustained release drug formulations. The Company’s proprietary technology, Tissue Activated Drug Delivery (“TADD”) provides a mechanism to concentrate a drug at the site of disease.  Pharmaceutical agents become non-active “pro-drugs” when linked to the TADD technology and are reactivated by enzymes present at the site of disease. The Company has established a proprietary position in its key area (site-directed delivery using disease-specific enzymes). VMI is currently investigating formulations for FDA approved anti-cancer and anti-inflammatory drugs. In addition, the Company is developing novel pharmaceuticals focused on anti-fibrotic disorders such as pulmonary hypertension, scleraderma, and prevention of surgical adhesions.

Century Capital was approached by VMI in May 1998 to assist the Company in its financing, corporate development and strategic planning efforts. During the past 4 years, Century Capital has been involved in almost every facet of the Company and has spearheaded the Company’s financing and corporate development efforts.  Century Capital has advised the company during the following transactions:

  • In April 1999, Century Capital assisted the Company in negotiating a development agreement with a major pharmaceutical company.

  • In November 1999, Century Capital assisted the Company in closing a private placement.

  • In September 2000, Century Capital assisted the Company in negotiating an in-license agreement for technology from a major university and medical school.

  • In December 2000, Century Capital negotiated a joint venture with a major pharmaceutical company focused on the development of a cancer drug.  In conjunction with this transaction, the pharmaceutical company made an equity investment into the Company and provided the Company and the joint venture with research and development funding.

  • In September 2001, Century Capital assisted the Company in negotiating an in-license agreement and a development agreement with a mid-tier biotechnology company.
